1. INTRODUCTION

This Portalys Seller Agreement ("Agreement") governs the terms under which individuals or entities ("Sellers") may list and sell tickets on the Portalys platform ("Portalys," "we," "our," "us"). By listing tickets for sale, you agree to comply with and be bound by this Agreement. If you do not agree, you must discontinue listing tickets immediately.

2. ELIGIBILITY

To sell tickets on Portalys, you must:

• Be at least 18 years old and capable of entering into legally binding agreements.

• Provide accurate personal or business details, including tax identification if applicable.

• Comply with all relevant laws regarding ticket resale.

3. SELLER RESPONSIBILITIES

Sellers agree to:

• List only valid and legally transferable tickets.

• Accurately describe ticket details, including event name, date, venue, seat location, and delivery method.

• Deliver tickets by the stated deadline and in the agreed format (electronic or physical).

• Honor all sales and refrain from canceling confirmed orders.

• Maintain fair pricing and comply with local ticket resale regulations.

4. PRICING AND FEES

• Sellers set their own ticket prices, but Portalys reserves the right to cap excessive markups to comply with laws.

• Portalys charges a service fee for each completed sale, deducted before payouts.

• Fees are disclosed before listing and may be updated periodically.

5. PAYMENT AND PAYOUTS

• Sellers must provide accurate payment information to receive payouts.

• Payments will be processed after successful ticket delivery and event completion.

• Portalys may delay or withhold payouts if fraudulent activity is suspected.

6. CANCELLATIONS AND REFUNDS

• Sellers cannot cancel a confirmed sale unless authorized by Portalys.

• If an event is canceled, Sellers must refund Buyers as per Portalys' policies.

• Chargebacks due to Seller non-compliance may result in withheld payments and penalties.

7. PROHIBITED ACTIVITIES

Sellers may not:

• List counterfeit, invalid, or non-transferable tickets.

• Engage in speculative selling (listing tickets before owning them).

• Use bots or automated methods to acquire tickets for resale.

• Misrepresent event details or ticket attributes.

Violations may result in account suspension, removal of listings, and legal action.

8. DISPUTES AND LIABILITY

• Sellers are responsible for resolving disputes with Buyers in good faith.

• Portalys has the right to refund Buyer if the seller is Liable. 

• Portalys is not liable for Buyer disputes but may intervene at its discretion.

• Sellers agree to indemnify Portalys against claims arising from fraudulent or misleading listings.

9. MODIFICATIONS TO AGREEMENT

Portalys reserves the right to update this Agreement at any time. Continued use of the platform constitutes acceptance of the revised terms.

10. GOVERNING LAW

This Agreement is governed by the laws of the jurisdiction in which Portalys operates.
